End User License Agreement

Effective date: October 3, 2026

This End User License Agreement ("Agreement") is a legal agreement between you, the individual using ChamberGenie, and RenzaGroup LLC ("ChamberGenie", "we", "us"). It governs your use of the ChamberGenie web application at my.chambergenie.app, the hosted public chamber sites and embeddable widgets we serve, and any related software, documentation and updates (together, the "Software").

ChamberGenie is provided to organizations such as chambers of commerce and Main Street programs ("Chambers") under a separate subscription agreement (our Terms of Service). If you use the Software as a staff member, administrator or member representative of a Chamber, you do so under that Chamber's subscription, and this Agreement applies to you personally in addition to it.

By creating an account, signing in, or otherwise using the Software, you accept this Agreement. If you do not agree, do not use the Software.

1. License grant

Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software through a supported web browser, solely for the internal business purposes of the Chamber that invited you or, for member representatives, to manage your own business's membership and participation in that Chamber.

The Software is licensed, not sold. We and our licensors retain all right, title and interest in the Software, including all intellectual property rights. No rights are granted except as expressly stated here.

2. Accounts and roles

Access to the Software requires an account. Accounts are created by invitation from a Chamber or by applying for membership through a Chamber's public site. You must provide accurate information and keep it current.

Your account is assigned a role (for example Chamber Admin, Chamber Staff or Member) by the Chamber. The features available to you depend on that role. The Chamber, not ChamberGenie, decides who receives access and at what level, and may change or revoke your access at any time.

You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Notify your Chamber and us at support@chambergenie.app promptly if you suspect unauthorized use.

3. Restrictions

You may not, and may not permit anyone else to:

  • copy, modify, translate or create derivative works of the Software, except as the Software itself allows (for example by editing content you are authorized to edit);
  • reverse engineer, decompile or otherwise attempt to derive the source code of the Software, except to the extent applicable law forbids this restriction;
  • rent, lease, lend, sell, sublicense, or provide the Software to anyone outside the Chamber's authorized users;
  • circumvent or interfere with access controls, tenant boundaries, rate limits or security features, or access data belonging to another Chamber or another user;
  • use automated means to scrape, harvest or bulk-export data from a Chamber's public site or widgets, other than through features we provide for that purpose;
  • use the Software to send unsolicited bulk messages, to harass anyone, or to publish content that is unlawful, defamatory, infringing or deceptive;
  • upload malicious code or anything that could damage, overburden or impair the Software or the systems it runs on;
  • remove or obscure any proprietary notices;
  • use the Software in violation of any applicable law, including export and sanctions laws.

4. Your content and Chamber data

Information you enter into the Software, including profiles, event listings, posts, comments, uploaded files and messages ("Your Content"), remains yours or your Chamber's. You grant us a worldwide, royalty-free license to host, store, reproduce, display, transmit and process Your Content solely as needed to operate, secure and improve the Software and to provide it to you and your Chamber.

Each Chamber controls the data within its own ChamberGenie tenant. Content you submit to a Chamber (for example a company profile or an event) may be published on that Chamber's public site, in its member directory, in its emails and through its embedded widgets, according to the Chamber's settings. Contact the Chamber to change what is published about you.

You represent that you have the rights needed to submit Your Content and that it does not violate anyone's rights or any law. We may remove content that we reasonably believe violates this Agreement, at the Chamber's request, or as required by law.

5. Community features

Some Chambers enable a community feed where members can post updates, referral requests, deals, job openings and shout-outs, and comment on or react to others' posts. These features are moderated by Chamber staff. Be respectful and accurate. Chamber staff may pin, hide, lock or delete posts and may suspend community access for conduct that violates this Agreement or the Chamber's own rules.

6. Payments

Membership dues, event tickets and other charges are set by, and payable to, your Chamber. ChamberGenie facilitates payment through Stripe, and funds settle to the Chamber's own Stripe account. When you pay through the Software you also agree to Stripe's terms. We do not store full card numbers. Refunds, disputes and receipts for Chamber charges are handled by the Chamber in accordance with its own policies.

7. Third-party services and integrations

The Software relies on third-party services for hosting, authentication, email delivery, payments and, where a Chamber enables them, accounting and marketing integrations. Those services are subject to their own terms and privacy policies.

If your Chamber connects QuickBooks Online, the Software exchanges customer, invoice and payment records with Intuit on the Chamber's behalf under the Chamber's authorization. The connection can be revoked by a Chamber Admin at any time in Settings. Use of QuickBooks Online is governed by Intuit's terms of service.

Certain features use artificial intelligence to draft text, such as event descriptions, outreach emails and summaries. AI output is a draft for a human to review and may be inaccurate. You are responsible for anything you publish or send.

8. Email and notifications

The Software sends transactional email on behalf of Chambers, such as invitations, confirmations, invoices, reminders and receipts, and may send digests and reports if your Chamber enables them. Transactional messages are necessary to operate the service. You can opt out of digests, reports and other non-essential messages using the preference link in those emails.

Some Chambers accept email sent to a dedicated address to create event drafts or to reply to invoices. Messages sent to those addresses are processed by the Software and may be stored with the Chamber's records.

9. Privacy

Our Privacy Policy at https://www.chambergenie.app/privacy describes what information we collect, how we use it and your choices. It is part of this Agreement.

10. Updates and availability

We may update the Software from time to time, including by adding, changing or removing features. We aim to keep the Software available but do not guarantee uninterrupted access. Maintenance, outages at our providers, and events beyond our control may interrupt service.

11. Term and termination

This Agreement is effective until terminated. It terminates automatically when your access is revoked by your Chamber, when the Chamber's subscription ends, or when you delete your account. We may suspend or terminate your access immediately if you breach this Agreement or if required to protect the Software, other users or third parties.

On termination the license ends and you must stop using the Software. Sections that by their nature should survive (including Restrictions, Your content, Disclaimers, Limitation of liability, Indemnity and General) survive termination.

12. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, RENZAGROUP LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE OR UNINTERRUPTED, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RENZAGROUP LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnity

You will defend, indemnify and hold harmless RenzaGroup LLC from claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Software in violation of this Agreement, or your violation of any law or third-party right.

15. General

Governing law. This Agreement is governed by the laws of the State of Tennessee, without regard to conflict of laws rules. Courts located there have exclusive jurisdiction, and you consent to that jurisdiction, except that either party may seek injunctive relief in any competent court.

Changes. We may update this Agreement. If a change is material, we will give notice through the Software or by email before it takes effect. Continued use after the effective date means you accept the updated Agreement.

Entire agreement. This Agreement, the Privacy Policy and, for Chambers, the Terms of Service make up the entire agreement about the Software and supersede prior agreements on that subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement; we may assign it to a successor.

US government users. The Software is commercial computer software; government users receive only the rights granted to all users under this Agreement.
